Adding a Director
The Articles of Association of a company as per section 260 and section 284 of the Companies Act, 1956, provides the authority to the Board of Directors to add new directors or remove existing ones. The person whom you want to add a director must be eligible as per the Articles of Association. And he has to give his consent in writing for appointment as a director which the company must register with itself.

- The newly-appointed director need to apply for a Director Identification Number by filing E-Form DIN-1 with the Ministry of Corporate Affairs, Government of India.
- The board of directors need to pass a resolution to approve the appointment of a new director. Form DIR-12 will be filed with Registrar of Companies once the resolution is passed.
