The Limited Liability Partnership (LLP) Agreement is the contract of the LLP which defines the scope, extent of involvement, rights, duties and obligations of the partners. It is very much similar to the Memorandum of Association and Articles of Association for a private limited company.

Changing the LLP agreement is a straightforward process. A resolution should be passed to approve the revision. Form 3 should also be filed with the Registrar within 30 days as second step.

Procedure for Changing LLP Agreement

• 3 WORKING DAYS

  All the partners must pass a resolution for the required changes in agreement. It is required due to change in capital contribution.

• 4 WORKING DAYS

  Form-3 needs to be filed with the registrar within 30 days of the passing of the resolution.
